Terms of Sale
Version 1.1 — in effect as of 10 September 2026. English translation for convenience; in the event of any discrepancy, the French version prevails and governs.
These Terms of Sale (hereafter "the Terms") govern the sale of advertising film production services offered by David Kadoche O'Sullivan, a sole trader operating under the name IN THE NAME OF LOVE PRODUCTION (hereafter "the Provider" or "the Studio"), SIRET 491 706 271 00013, 34 rue Guy Môquet, 94500 Champigny-sur-Marne, France, VAT not applicable — French tax code (CGI), article 293 B.
The services sold via the site are reserved for business customers — individuals or entities acting for the purposes of their professional activity. The site does not offer sales to consumers. By placing an order, the customer (hereafter "the Client" or "the Advertiser") states that they are acting within the scope of their professional activity. Any order implies unreserved acceptance of these Terms, to the exclusion of any other document.
Article 1 — Purpose
The Studio produces short advertising films for the Advertiser's communications. Two packages are offered:
- AI Pack — a film created using generative artificial intelligence tools, ordered online;
- Live-Action Pack — a film shot with a real camera, actors and locations, established on custom quote.
These Terms apply to both packages. Articles 3, 4 and 8 set out the rules specific to the AI Pack ordered online.
Article 2 — Price
- Prices are stated in euros, excluding VAT. VAT is not applicable (French tax code, article 293 B): the amount excluding VAT is the final amount.
- The price is a flat project rate, set before production begins. There is no billing by time spent.
- The total price depends solely on the options selected by the Advertiser at the time of order. For the AI Pack, the amount is recalculated server-side from the selected options alone.
- Any service not included in the flat rate (a newly generated element, an extra revision round, extended rights, an additional format, urgency) is subject to prior written agreement and separate billing.
Article 3 — AI Pack: content and scope of the service
Unless stated otherwise in the order summary, the AI Pack includes:
- One (1) advertising film lasting 15 to 30 seconds, delivered finished and ready to publish.
- Three delivered formats: 9:16, 1:1 and 16:9, as Full HD (1080p) MP4 files, one file per format.
- An AI text-to-speech voice-over in French or music (AI-generated or royalty-free), your choice.
- An end-card logo (about 2 seconds), based on the vector logo and colors provided by the Advertiser.
- One (1) round of edits (see Article 5).
- The advertising broadcasting rights defined in Article 6.
Options payable online (burned-in subtitles, an additional-language version) are included only if they appear in the order summary. A professional voice actor and an original composed score involve outside contractors and are established on a separate quote.
Assets to be provided by the Advertiser: a vector-format logo, brand guidelines or colors and fonts, high-resolution product visuals where relevant, and any information useful for writing the script. Turnaround times run from receipt of complete and usable assets.
Article 4 — Online order and payment (AI Pack)
- The order is placed online on the site, after describing the project via the form and accepting these Terms.
- Payment is made by card via the secure payment provider Stripe. The Studio retains no card data.
- 30% deposit of the total amount on order. The 70% balance is paid after reviewing the final version (Article 5) and is a condition of delivering the final files.
- An invoice is issued for each payment. As no VAT applies, invoices do not show VAT (French tax code, article 293 B).
- The order is firm upon receipt of the deposit. Production starts after a kickoff call.
- Late payment: any amount not paid on time bears interest at the increased statutory rate, without prejudice to a flat-rate collection fee of €40 (French Commercial Code, articles L.441-10 and D.441-5). The Studio may suspend delivery until payment in full.
Article 5 — Production process, approval, preview and delivery
- Writing: the Studio drafts the script from the assets provided. It is submitted to the Advertiser, who approves it in writing before any production. No generation begins without an approved script.
- Included revision round: after the first cut, the Advertiser sends its requested changes all at once, as a written list. The Studio applies these changes and locks the final version.
- The included revision round covers: pacing, shot order, text and subtitles, music choice, voice timing.
- Outside the included revision round: redoing a shot already generated (a new generation), a new creative direction, a change of script after approval, or an additional revision round. This work is quoted and approved before it is carried out.
- Preview: the final version is made available to the Advertiser on a private page of the Studio's site, accessed via a link sent by email. This preview is provided in low resolution and carries a watermark; it is strictly reserved for internal approval and may not be broadcast, published or put to any commercial use.
- Balance and delivery: after review, the 70% balance becomes due. Upon receipt of the balance, the Studio delivers the final files (Full HD MP4, no watermark, every format included) and the distribution guide. No final file is provided before payment in full.
- AI Pack turnaround: first cut submitted within 5 business days of the start of production (complete project and deposit received). The Advertiser's response times (script approval, feedback, review, paying the balance) delay delivery accordingly.
- Absent any response from the Advertiser within 15 days of a version being made available (edit or preview), that version is deemed accepted and the balance becomes due.
Article 6 — Broadcasting rights and ownership
From full payment of the price, the Studio grants the Advertiser a right to use the film and its variants (formats, short cuts, excerpts) for the Advertiser's advertising and communication purposes.
- AI Pack: unless stated otherwise, the license covers all media (internet, social media, television, cinema, digital signage, points of sale, trade shows and events), all territories and with no time limit.
- Live-Action Pack: the default scope is "web and social media, France, 12 months." Any extension (medium, territory, duration, full buyout) is priced on quote, as it determines the fees owed to actors and other contributors.
- Non-exclusive license: the Advertiser receives every right needed to broadcast the film, but does not become its exclusive owner. The Studio retains the right to feature the film in its portfolio and promotional materials, unless the Advertiser requests otherwise in writing. For AI-generated elements, Article 7 sets out the absence of any guarantee of exclusivity.
- Excluded: reselling or sublicensing the film to a third party, materially altering it, and any use outside the scope defined above.
- Third-party elements: the Advertiser warrants that it holds the rights to any brands, products, logos, text, visuals and images of people that it provides or asks to be included, and indemnifies the Studio against any claim in this respect.
- Music: AI-generated or royalty-free music is provided without exclusivity, is not registered with any collecting society (SACEM or other) and carries no airplay royalty. An original composed score (option) is subject to a written assignment from the composer for the Advertiser's benefit.
Article 7 — Transparency: content generated by artificial intelligence
The AI Pack, and certain elements of other packages, are created, in whole or in part, using generative artificial intelligence tools, under the Studio's artistic direction.
In accordance with Article 50 of Regulation (EU) 2024/1689 (the "AI Act"), whose transparency obligations have applied since 2 August 2026:
- the Studio adds a visible notice to the film disclosing its AI-generated nature, and preserves the technical markings (watermark, metadata) inserted by the generation tools;
- the Studio provides the Advertiser with a transparency text to reuse in the video's description when published;
- the Advertiser undertakes to keep these notices and markings, not to remove them, and to enable the "AI-generated content" flag offered by distribution platforms (YouTube, Meta, TikTok, etc.) when publishing.
The Advertiser is informed that AI-generated content may not be protected by copyright and is provided with no guarantee of exclusivity or of the absence of similarity with pre-existing works.
Article 8 — No right of withdrawal — Cancellation
As the services are reserved for business customers acting for the purposes of their professional activity (Article 1), the right of withdrawal provided for by Articles L.221-18 et seq. of the French Consumer Code, reserved for consumers, does not apply.
In any event, by requesting the immediate start of production at the time of order, the Client expressly waives any right of withdrawal that might otherwise apply, the service being a customized service performed at its request.
Cancellation by the Client. The order becomes firm and final upon receipt of the deposit. If the Client cancels after production has started:
- the 30% deposit is retained by the Studio as liquidated damages;
- work and costs already incurred beyond the deposit amount are billed to the Client on production of supporting documents, up to the total price;
- elements produced as of the cancellation date are delivered only after payment of any amounts owed.
Article 9 — Liability and warranties
- The Studio is bound by a duty of best efforts. It applies its expertise to deliver a film consistent with the approved script.
- The Studio is not liable for delays or an inability to perform caused by a defect, delay or insufficiency of the assets provided by the Advertiser, nor by an event of force majeure.
- The Studio's liability, on any grounds whatsoever, is limited to the amount actually invoiced for the service concerned.
- The Advertiser alone is responsible for the claims, sector-specific legal notices and regulatory approvals relevant to its own activity and sector (advertising self-regulatory bodies, media buyers, etc.).
Article 10 — Personal data
Information submitted via the forms is used to handle the request and carry out the service. It is processed by the third-party service Formspree and by Stripe for payment, and is neither transferred nor used for commercial purposes. The Advertiser has the right to access, rectify and delete its data, exercised via the contact page. See the Legal Notice for details.
Article 11 — Complaints and disputes
- Any complaint is addressed via the contact page. The Studio endeavors to respond within 15 business days.
- As the services are reserved for business customers, the consumer mediation scheme does not apply.
- Governing law: French law.
- Disputes: absent an amicable agreement within 30 days of the complaint, any dispute falls within the exclusive jurisdiction of the courts local to the Studio's registered address, including in the event of multiple defendants or third-party proceedings.
Article 12 — Changes to the Terms
The Studio may modify these Terms at any time. The applicable Terms are those in effect on the date of the order, accepted by the Client at that time. The version and date appear at the top of this document.
